Entity Formation

When a client is starting a new business, a consultation with David N. Bryan, P.A. on entity formation is one of the most important investments the client can make. Our firm recognizes that every business venture is unique. As a result, we assist clients in structuring the business so that it can accomplish its objectives and also avoid legal problems down the road. We work closely with the client’s team of professionals, including certified public accountants, to ensure that the business entity best suits the client’s legal, operational, regulatory and tax needs. Once the client has selected the entity, we then prepare the necessary company governance documents such as articles and bylaws, buy-sell agreements, operating agreements, employment agreements and other relevant corporate documents.

Asset and Stock Sales and Purchases

Through skilled negotiation and detail-oriented preparation of necessary documentation, our firm focuses on representing clients as effectively and efficiently as possible in the negotiation of executive contracts, non-competition agreements, lease assignments, real estate issues and other matters ancillary to the sale or purchase of a business.
